• Quotations: Official proforma invoices and written quotations issued by NWSPEC are valid for 30 calendar days from the date of issuance unless explicitly stated otherwise.
• Order Acceptance: Orders placed online or via purchase order (PO) become legally binding only upon written dispatch confirmation or receipt of required initial deposits.
• Custom & OEM/ODM Projects: Custom instrument configurations, specialized optical gratings, and OEM builds require signed technical specifications and are non-cancellable once production commences.

All prices listed in our online catalog are denominated in US Dollars (USD) unless specified otherwise. Prices are subject to adjustment without prior notice due to changes in international component costs, exchange rates, or raw material tariffs.

Payment terms for standard online orders are prepaid via credit card, wire transfer (T/T), or PayPal. Bulk, institutional, and tender orders are subject to the specific commercial payment milestones established in your commercial contract or proforma invoice.

Instruments ship from our specialized facilities in Xiong'an, Tianjin, or Tangshan, China. Deliveries are dispatched under international Incoterms (typically DAP, CPT, or EXW as confirmed on your invoice).

Title and risk of loss pass to the buyer in accordance with the agreed Incoterm upon handover to the commercial carrier (e.g., DHL, FedEx, air/ocean freight forwarders). The buyer is responsible for applicable destination import duties, VAT, and local customs clearance unless DDP terms have been mutually contracted in writing.

We take every measure to ensure optical specifications, dimensional diagrams, and detector parameters published on our website are accurate and up to date. However, scientific instruments are subject to continuous engineering enhancements.

The purchaser must inspect all shipments upon arrival. Any physical shipping damage or missing items must be documented with photographic evidence and reported to NWSPEC within 7 calendar days of receipt.

All NWSPEC analytical instruments include our standard 12-month manufacturer warranty against defects in materials and workmanship, effective from the date of delivery. Consumable items (including deuterium lamps, hollow cathode lamps, and quartz cuvettes) are warranted upon initial receipt and installation.

The warranty does not cover damage resulting from improper installation, unauthorized disassembly, improper electrical grounding, fluid spillage, or failure to follow routine maintenance protocols outlined in the user manual.

All software, embedded firmware, spectral algorithms, SDK libraries, and documentation provided with NWSPEC instruments are licensed, not sold. Purchasers are granted a non-exclusive, non-transferable license to use the firmware solely in connection with the operation of the designated instrument.

Reverse engineering, decompilation, unauthorized extraction of firmware binaries, or copying of patented optical bench designs is strictly prohibited.

In no event shall NWSPEC, its directors, officers, employees, or parent company (Varsal Instruments Group) be liable for any indirect, incidental, punitive, special, or consequential damages — including loss of laboratory data, downtime costs, procurement of substitute equipment, or lost profits — arising out of the use or inability to use our products or services.

Our total cumulative liability for any claim related to a product purchase shall not exceed the actual purchase price paid by the customer for the specific unit giving rise to the claim.

These Terms & Conditions and any commercial agreements between the parties shall be governed by and construed in accordance with applicable commercial laws. In the event of any dispute, the parties agree to first seek amicable resolution through good-faith negotiation.
